If you do not agree with any part of these Terms, you must immediately discontinue your use of our website and services.

Our services are delivered exclusively in digital format through our website, email, video conferencing platforms, and other digital communication channels.

The specific services we offer include, but are not limited to:

• Used Car Evaluation Guidance: Expert online consultations that provide analysis and educational guidance regarding the general assessment of used motor vehicles based on information and documentation provided by the client.
• Vehicle Listing Review: Professional examination of vehicle listings, advertisements, and related seller information to help clients identify potential areas of concern or interest from a consumer-awareness perspective.
• Inspection Checklists: Detailed, structured checklists and guides designed to help clients conduct their own physical inspection of a vehicle or to know what to look for when engaging a third-party inspector.
• Condition Assessment Tips: Educational content and personalized recommendations regarding how to evaluate and interpret the general mechanical and cosmetic condition of used vehicles.
• Pre-Purchase Guidance: Comprehensive advisory sessions covering the key factors, considerations, and best practices that prospective buyers should understand before completing a used vehicle purchase.

All services are subject to availability and may be modified, expanded, or discontinued at any time at our sole discretion. We reserve the right to introduce new service tiers, bundled packages, or revised service structures with reasonable notice to existing clients.

Nature of Consultations and Limitations

It is critically important that you understand the fundamental nature and scope of the services provided by Golden Road Cars. Our consultations are educational and advisory in nature only. We are not licensed mechanics, certified automotive appraisers, vehicle inspection technicians, or financial or legal advisors.

Specifically, you acknowledge and agree that:

• All guidance, analysis, and recommendations provided by Golden Road Cars are based solely on information, photographs, descriptions, documents, and other materials supplied by the client or obtained from publicly available sources.
• We do not conduct, and cannot substitute for, an in-person physical inspection of any vehicle. Any assessment we provide is inherently limited by the information available to us at the time of consultation.
• Our consultations do not constitute a guarantee, warranty, certification, or professional appraisal of any vehicle's condition, market value, mechanical integrity, safety, title status, or suitability for any purpose.
• We strongly recommend that all clients also engage a licensed, independent mechanic or certified vehicle inspection service to conduct a thorough in-person inspection before finalizing any vehicle purchase.
• Our opinions and recommendations are provided as educational guidance only and should not be the sole basis for any purchasing, financial, or legal decision.
• Vehicle condition, pricing, and market factors can change rapidly, and any information we provide reflects conditions as of the time of consultation only.

User Obligations and Conduct

In order to use our services, you must be at least 18 years of age or the age of majority in your jurisdiction. By using our services, you represent and warrant that you meet this requirement and that all information you provide to us is accurate, truthful, and complete.

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree that you will not:

• Provide false, misleading, or fabricated information about any vehicle, transaction, or personal detail for the purpose of obtaining our services under false pretenses.
• Use our services to facilitate any illegal transaction, including but not limited to odometer fraud, title washing, VIN cloning, or any other form of vehicle fraud.
• Reproduce, distribute, resell, or commercially exploit any consultation content, reports, checklists, or materials provided by Golden Road Cars without our express written permission.
• Reverse engineer, scrape, or systematically extract content from our website or materials for commercial purposes.
• Engage in any conduct that interferes with or disrupts our services, servers, or networks.
• Harass, threaten, or abuse our staff, contractors, or representatives in any communication channel.
• Attempt to gain unauthorized access to any portion of our systems or data.

You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Payment, Fees, and Billing

Certain services offered by Golden Road Cars may require payment of fees. All applicable fees, pricing structures, and payment terms will be clearly disclosed prior to your purchase or engagement of any paid service. By initiating a paid service, you agree to pay all applicable fees in the currency specified at the time of purchase.

Payment is typically processed through our designated third-party payment processors. By providing your payment information, you represent and warrant that you are authorized to use the payment method provided and authorize us to charge the applicable fees.

All fees are exclusive of applicable taxes, which may be added at the time of checkout depending on your jurisdiction. You are responsible for any applicable taxes, duties, or government levies related to your purchase of our services.

We reserve the right to modify our pricing at any time. Any pricing changes will take effect for new service purchases following the date of the change. Existing confirmed service bookings will not be retroactively affected by pricing changes unless otherwise agreed.

Intellectual Property Rights

All content, materials, documentation, checklists, guides, reports, visual assets, website design, trademarks, service marks, logos, and other intellectual property made available through Golden Road Cars services and website are the exclusive property of Golden Road Cars or our licensors, and are protected by applicable United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services and materials solely for your personal, non-commercial use in connection with the specific vehicle purchase you have engaged us to assist with. This license does not include the right to:

• Copy, reproduce, or duplicate any material for purposes beyond your personal vehicle purchase consultation.
• Modify, adapt, translate, or create derivative works based on our materials.
• Publicly display, publicly perform, or distribute any materials we provide.
• Use our trademarks, trade names, or branding without our express written consent.
• Sublicense or otherwise transfer any rights to third parties.

Any content you submit to us through our contact forms, email, or during consultation sessions may be used by us to improve our services, subject to the terms of our Privacy Policy. You retain ownership of your original submissions, but grant us a non-exclusive, royalty-free license to use, analyze, and refer to such content for internal service improvement purposes.

Limitation of Liability

To the fullest extent permitted by applicable law, Golden Road Cars, its officers, directors, employees, agents, contractors, affiliates, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible losses, arising out of or related to:

• Your use of or inability to use our services.
• Any reliance on consultation guidance, reports, checklists, or recommendations provided by us.
• Any vehicle purchase, negotiation, or transaction you enter into based on our services.
• Any errors, inaccuracies, or omissions in our consultation content.
• Unauthorized access to or alteration of your communications or data.
• Any other matter relating to our services.

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or our services exceed the greater of (a) the total amount paid by you to Golden Road Cars for the specific service giving rise to the claim in the twelve (12) months prior to the event giving rise to such claim, or (b) one hundred U.S. dollars ($100.00).

Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Golden Road Cars expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, title, and non-infringement.

We do not warrant that our services will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from the use of our services will be accurate, reliable, current, or meet your specific requirements. We do not guarantee any particular outcome with respect to any vehicle purchase you may be considering.

Any advice or recommendation provided by our consultants reflects their professional opinion based on the information available at the time of consultation and does not constitute a guarantee of any vehicle's condition, value, reliability, safety, or suitability for your intended use.

Indemnification

You agree to indemnify, defend, and hold harmless Golden Road Cars and its officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service.
• Your use of our services in a manner not authorized by these Terms.
• Any false or misleading information you provide to us.
• Your violation of any third party's rights, including intellectual property rights or privacy rights.
• Any claim that your use of our services caused damage to a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Missouri, United States of America, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in St. Charles County, Missouri for resolution of any disputes.

Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute informally through direct communication. Either party may initiate this process by providing written notice of the dispute to the other party. The parties will then attempt to negotiate a resolution in good faith for a period of thirty (30) days.

If informal resolution fails, any dispute arising out of or related to these Terms shall be resolved through binding arbitration administered in accordance with the American Arbitration Association's Consumer Arbitration Rules, except that either party may bring qualifying claims in small claims court.

You agree that any dispute resolution will be conducted on an individual basis only, and not in any class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Modifications to Terms

Golden Road Cars reserves the right to revise and update these Terms of Service at any time and for any reason, at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the services thereafter. The date of the most recent revision will always be indicated at the top of this document.

Your continued use of our services following the posting of revised Terms means that you accept and agree to those changes. We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must discontinue using our services.

For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you via email if you have provided us with your contact information, or by displaying a notice on our website prior to the change becoming effective.

Miscellaneous Provisions

These Terms of Service, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Golden Road Cars regarding your use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by a duly authorized representative of Golden Road Cars.

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign these Terms without restriction.
